Terms of Service

These Terms of Service ("Terms") are an agreement between you and Moxie POS LLC, d/b/a PassMeThat ("PassMeThat," "we," "us"), governing your use of passmethat.com and the PassMeThat service (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business, and "you" refers to the business.
1. The Service
PassMeThat lets businesses design, issue, distribute, and update digital passes (loyalty cards, coupons, tickets, gift cards, and similar) for Apple Wallet and Google Wallet, including customer signup pages, messaging campaigns, scanning tools, and an API. Features vary by subscription plan.
2. Accounts
- You must provide accurate account information and keep it current.
- You are responsible for safeguarding your login credentials and API keys, and for all activity under your account, including activity by team members you invite.
- The Service is intended for business use by people at least 18 years old.
3. Subscriptions, trials, and billing
- Paid plans bill monthly in advance through our payment processor (Stripe). By subscribing you authorize recurring charges to your payment method.
- Plan changes take effect immediately; upgrades are prorated. Cancellation stops future billing and downgrades your account at the end of the paid period — it does not retroactively refund the current period.
- The Free plan has limited functionality as described on the pricing page; among other limits, passes issued on the Free plan do not receive live updates and carry PassMeThat branding.
- Except where required by law, fees are non-refundable; we may issue refunds or credits at our discretion.
- Plan limits (templates, active passes, features) are enforced by the Service and may be adjusted with notice.
- Selling passes through the Service incurs a platform transaction fee at your plan's published rate (shown in your dashboard before you enable selling), in addition to Stripe's payment-processing fees. Fees are deducted automatically from each sale.
4. Your content and your customers' data
- You retain ownership of the logos, artwork, text, and data you upload, and of the customer records collected through your passes and signup pages ("Your Content").
- You grant us a limited license to host, process, display, and transmit Your Content solely to provide the Service (for example, rendering passes, sending your emails and texts, and pushing pass updates to wallets).
- You are the data controller for your customers' personal information; we process it on your behalf as described in our Privacy Policy. You are responsible for having a lawful basis to collect it and for honoring your customers' privacy requests.
- You can export your customer data at any time from the dashboard.
5. Acceptable use
You agree not to use the Service to:
- Send spam or messages without the recipient's consent. You are solely responsible for complying with applicable messaging laws (including CAN-SPAM and the TCPA) when sending email, SMS, or push campaigns through the Service.
- Impersonate another business, create counterfeit or deceptive passes, or misrepresent an affiliation.
- Issue passes for illegal goods or services, or upload content that is unlawful, infringing, or malicious.
- Probe, disrupt, or overload the Service, resell it without authorization, or attempt to access other customers' data.
We may suspend or remove content or accounts that we reasonably believe violate this section.
6. Wallet platforms
Passes are delivered through Apple Wallet and Google Wallet, which are operated by Apple Inc. and Google LLC. PassMeThat is not affiliated with, endorsed by, or sponsored by Apple or Google. Their platforms, policies, and availability are outside our control, and wallet features may change or become unavailable due to changes they make.
7. Availability and changes
We work to keep the Service available and your passes updating, but the Service is provided without a guaranteed uptime commitment (unless separately agreed in an Enterprise agreement). We may modify, add, or remove features, and may discontinue the Service entirely with at least 30 days' notice, during which you can export your data.
8. Intellectual property
The Service — including its software, design, and documentation — is owned by Moxie POS LLC and its licensors. These Terms grant you no rights in the Service other than the right to use it while your account is in good standing.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS OR TO EITHER PARTY'S WILLFUL MISCONDUCT.
11. Indemnification
You will defend and indemnify us against third-party claims arising from Your Content, your use of the Service in violation of these Terms, or your violation of applicable law (including messaging-consent laws), except to the extent caused by our own misconduct.
12. Termination
You may cancel at any time from the billing page. We may suspend or terminate your account for material breach of these Terms, non-payment, or extended inactivity on free accounts. After termination we will make your data available for export for 30 days, after which we may delete it. Sections 4, and 8–14 survive termination.
13. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you by email or in the dashboard at least 14 days before it takes effect. Continued use of the Service after the effective date constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Texas, and each party consents to their jurisdiction.
